Tax identification fork
Definition
Whether the buyer keeps the seller's EIN, which decides re-licensing from re-papering.
Why It Matters
Ohio writes the rule that most states only imply. A purchaser operating the acquired ambulette service as a separate business under a different tax ID must submit a new application for licensure, complete the inspections and pay the fees again; a purchaser absorbing it under the same tax ID only reports the change. Vehicle permits never travel either way, since the rule says in as many words that a permit is not transferable, and a service that stops operating returns every permit and its certificate within ten days. The structure decision therefore sets how many weeks the buyer cannot bill, which is a working capital question before it is a legal one.
