Buying a Hardware Store
No License to Buy, and a Ceiling Anyway
Nothing about selling hammers requires a trade license. Selling restricted-use pesticides can: Florida requires a dealer's license of anyone who sells them, obtained before entering the business or transferring its ownership. Otherwise the constraint arrives from a different direction. The SBA size standard for hardware retailers is 16.5 million dollars of average annual receipts, the tightest receipts figure among the trades in this theme, and the rule counts the applicant together with its affiliates. A searcher who already owns something eats into the same ceiling, so the second store is where this binds, not the first. Check it before writing an offer on a group.
What Hardware Stores Trade For
The marketplace's building material and hardware class puts sold quartiles at 2.02x to 3.86x SDE from 2021 through 2025, with a median near 2.92 and an average of 3.25. The class median sale price is 765 thousand dollars on median revenue of 1.63 million and median owner earnings of 280 thousand, and the median listing sat 236 days. Read the class scope before you read the band: the publisher names general hardware stores first but also counts flooring, roofing supply, plumbing supply, paint retailers, kitchen and bath, marble and granite, and retail lumber yards. The band is broader than the storefront.
The Four Numbers the Trade Publishes About Itself
This trade is unusual in publishing an annual cost-of-doing-business study. The 2026 edition went on sale in September 2026 with its figures behind a purchase, so the four public numbers here come from the 2025 edition, covering fiscal 2024. Sales per customer reached 39 dollars, an all-time high. Profit before taxes came in at 4.7 percent, down for the third year running and still the fifth highest on record. Gross margin after rebate was 42.6 percent, the highest since 2016. The sample was 1,082 independent home improvement stores. Read those four together: the ticket and the margin are up, and the bottom line is down anyway, which is a cost story and not a pricing one.
Shrink and Turnover Are the Margin
The same study puts shrink across all four of its store segments at 1.7 percent of sales on average and 1 percent at the median, and employee turnover at 28.4 percent average and 27 percent median. Both matter more here than the size of the numbers suggests, because a hardware store's gross margin is around forty percent and its net is under five. A point of inventory shrink is a fifth of the profit. A store running twice the median turnover is paying to retrain the person who knows where things are, in a trade where that knowledge is the service. Ask for shrink by department and for the last two years of staff tenure, not a headcount.
What to Verify in Diligence
The value is in the inventory, the co-op terms and the people who know the aisles. Verify:
- Inventory by department with turns, and the share that has not moved in a year
- Co-op or buying group membership, its terms, and whether they survive a change of ownership
- Shrink by department for two years, not a single blended figure
- Staff tenure on the sales floor, since the trade knowledge is the service
- The lease and any rights the landlord holds over an assignment
- Rebate income as a share of gross margin, and what it depends on
Financeability Notes
Hardware stores finance under SBA 7(a) and lenders read them as inventory-heavy retail, which cuts both ways: the stock is collateral, and it is also working capital the buyer has to carry from day one. Expect underwriting to test the inventory valuation hard, because a shelf full of slow movers is worth its scrap price and not its cost. Model debt service net of a market wage for a store manager if the seller runs the floor, net of the working capital the shelves absorb, and against the size standard if the plan is to add a second location later.

It reports sales per customer of 39 dollars as an all-time high, profit before taxes of 4.7 percent down for a third year, and gross margin after rebate of 42.6 percent, the highest since 2016.

What It Costs to Replace the Owner
The multiples above are quoted on SDE, which adds the owner's pay back into earnings, so they hold only if you do the owner's job. Hire someone instead and the going rate for the role comes back out. For this trade that is usually the store manager, paid a median of $48,520 a year nationally. Subtract it from SDE before applying any multiple, because at a 3x multiple that wage also takes about $145,560 off what the business is worth to you.
