The Firm
Ardent Health is a publicly traded health system headquartered in Brentwood, Tennessee, running 30 acute-care hospitals and more than 200 sites of care across six states with over 1,800 affiliated providers. Its growth lane now includes ambulatory care, and urgent-care clinics are the piece it buys to widen the front door to its hospitals.
In January 2025 it bought 18 urgent-care clinics from NextCare, folding six into its Lovelace system in New Mexico and twelve into Hillcrest in Oklahoma, a health system taking centers off a national urgent-care operator to deepen two markets it already anchors.
For an urgent-care searcher, Ardent is the strategic buyer beside the private-equity platforms Shore Capital builds: where a financial buyer rolls centers into a standalone platform, a health system buys them to feed referrals into its hospitals. Either can be the exit, and knowing which one is across the table changes what your center is worth and why.
What the filing adds is scale and a gate. The scale: 30 acute care hospitals, more than 280 sites of care and over 2,000 providers across eight mid-sized urban markets in Texas, Oklahoma, New Mexico, New Jersey, Idaho and Kansas. That includes 45 urgent care centers alongside 188 primary and specialty clinics, four ambulatory surgery centers, two free-standing emergency departments and 12 imaging centers. The gate matters to any buyer in this lane rather than only to Ardent. In some of the states where it operates, the acquisition of existing facilities and the transfer or change of ownership require review by and prior approval of a state agency under a certificate-of-need program. A change of ownership can itself need regulatory sign-off, which belongs in the closing timeline rather than in the surprises.
