- Type: Broker (shops your deal)
- Footprint: Nationwide.
- Deal Size: $500k to $5M.

  - SBA Acquisition as one of four advertised lines, with the 7(a) advisory fee paid by the lender at closing and the fee on non-SBA work paid by the buyer instead.

## What It Costs

Paid only when a deal funds, and who pays depends on the lane. On SBA deals its own page says the advisory fee "comes from the lender at closing. Not from your pocket, and not before the deal funds." On non-SBA capital markets work it says "our fee comes from you, quoted in writing before we start and payable only at closing." Either way it states "no retainer, no work fee, no hidden costs". ## Best For

Searchers who want an SBA specialist packaging their deal and shopping it to the right lenders instead of cold-calling banks

## Pros and Cons

- Pro: Costs the buyer nothing on an SBA deal; the lender pays the fee only after a successful closing
- Pro: Acquisition-focused track record: $250M+ closed across 115+ acquisitions since May 2022
- Pro: Founder Matthias Smith brings ~$300M of prior [SBA 7(a)](https://searchspheresource.com/glossary/sba-7a) lending experience and is highly visible (and reachable) in the searcher community
- Pro: Comfortable with searcher-style structures like full/partial standby [seller notes](https://searchspheresource.com/glossary/seller-note)
- Con: Requires exclusivity on the SBA deal through an [engagement letter](https://searchspheresource.com/glossary/engagement-letter) that names no length; you can't run parallel processes with other brokers
- Con: Lender-paid compensation means the incentive is to close within their lender network (inherent to the model, just understand it)
- Con: No published list of which lenders are in the network
- Con: Free to you applies to the SBA lane only; non-SBA capital markets work is quoted to you and paid by you at closing
