# Axial vs BizNexus

Pay a success fee at close, or a price nobody publishes?

## Choose Axial

Choose Axial if you can underwrite the fee before you join. Access costs nothing until something closes, and the scale is published: it starts at 5% of transaction value and steps down to 1% above $4M, which the vendor's own worked example puts at $200K on a $10M deal and $150K on $5M. Toward the bottom of the SBA range a fee on that scale can rival the whole equity injection, so it earns its place when your box sits at the top of the range, where the network's $250K to $25M of EBITDA actually lives.

## Choose BizNexus

Choose BizNexus when what you want is origination run for you rather than a marketplace to work, and go in knowing the price is unknowable until you take the call. Every tier is demo-gated, the vendor warns that packages and pricing change routinely, and the front door now leads on mandate-driven origination rather than on the listings. Its own record says it is not for early-stage self-funded searchers who want cheap self-serve listing search.

## Side by side

| What It Is | A private deal network where sell-side M&A advisors and brokers list lower-middle-market companies (roughly $2.5M–$250M revenue, $250K–$25M EBITDA) and approved buyers get algorithm-matched deal flow, with 10,000+ deals going to market annually. Buyer access is free; Axial charges buyers a tiered success fee at closing on any deal first sourced through the platform. | Deal-flow platform for lower-middle-market M&A that combines a vetted marketplace of broker listings, private submissions, and pre-CIM teasers with a paid off-market origination service (OmniSource) and buyer-broker matching. Buyers apply for membership; both sides are screened before getting access. Re-read August 2026: the front page now leads on AI-native infrastructure and on mandate-driven origination run for the buyer, rather than on the marketplace, so the self-serve half has moved further behind the service. |

| What It Costs | Per axial.net's buying-investing page as read in July 2026, which has since dropped its fee copy while the success-fee page refuses automated readers, so confirm the scale in the engagement terms: "$0 access fee," "no upfront costs, subscriptions, or commitments" for buyers. Success fee due only on deals initially sourced on Axial, per-transaction at close on a Lehman scale. It runs 5% of the first $1M of transaction value, 4% of the next $1M, 3% of the next $1M, 2% of the next $1M, and 1% above $4M. The vendor's own example is $200K on a $10M deal, which works out to $50K on a $1M deal and $150K on $5M. Debt deals: 1% of committed capital. Repeat closers earn Success Fee Credits (5-year life) against future fees; deals with documented prior two-way contact are exempt. Free for qualified sell-side advisory firms. Note: old forum posts citing "$1k funding / $100 per deal" reflect an obsolete pricing model. | Pricing not published. The tiered membership page that carried the plan names is gone as of Aug 2026, and the access page that replaced it publishes no figures either. It offers a free community tier as the front door, an acquirer route where you "bring a mandate" and see what coverage looks like across off-market, pre-market and on-market, and an advisor route billed as buyer-paid with no cost to the advisor. All numbers are demo-gated, the OmniSource FAQ says only "fees are plan-specific, with a success-based component," and the vendor warns packages and pricing "routinely" change. Third-party guides historically described the marketplace as a small monthly fee, but no current figure appears on any vendor page. |
| Best For | Accredited searchers (5+ years professional experience required) hunting advisor-represented deals at the upper end of the SBA range, roughly $1M+ EBITDA targets, plus funded searchers and independent sponsors. A poor fit for sub-$1M SDE buyers, non-accredited first-timers, or anyone unwilling to owe Axial a $50K–$150K fee at close. | Well-capitalized, financing-ready buyers (funded searchers, holdcos, PE/family offices) who want aggregated broker deal flow plus outsourced off-market origination under one roof and don't mind a sales call and qualification process. Not for early-stage self-funded searchers who want cheap, transparent, self-serve listing search. |

| Our Verdict | Since access is now free, joining costs nothing and the broker relationships alone can justify it. But treat the 5/4/3/2/1 success fee ($50K on a $1M deal, $150K on $5M) as a hard toll: it makes Axial best for searchers pursuing $1M+ EBITDA advisor-listed deals, not the classic sub-$1M SDE self-funded search. | A legitimate, still-active deal-flow aggregator that has drifted upmarket and behind a sales process. Worth a demo if you're financing-ready and want off-market origination bundled with marketplace access, but self-funded searchers wanting transparent pricing and self-serve browsing should start elsewhere. |
