# Buying an Excavation Business

What a site preparation company is worth, why a fifth of its work is government, and the license limit a new owner's balance sheet can shrink.

## Why Searchers Target Excavation

It is the heaviest of the build and finish trades and the numbers say so: gross depreciable assets run about a third of receipts, roughly double every other build-and-finish trade, and average receipts per establishment are near four million dollars. That combination is unusual for a [searcher](https://searchspheresource.com/glossary/searcher) target. There is real collateral behind the loan, the work is a scheduled input to somebody else's construction, and the barrier to entry is the iron and the operators who can run it, neither of which a competitor assembles in a season.

## What the Market Pays

Sold listings in heavy construction ran 1.82x to 3.27x owner earnings across 2021 through 2025, with the middle at 2.50x and a five-year average of 2.71x. Sold listings averaged 2.94x in both 2024 and 2025, the highest of the five years. Median sale price was $945,541 on median revenue of $1,973,208. Read that band knowing what it covers: the same class carries large commercial, industrial and municipal [general contractors](https://searchspheresource.com/glossary/general-contractor), so it is broader than a searcher-scale grading shop, and no second publisher prices this trade at all.

## Two Licenses, and Neither of Them Transfers

In California the work splits between an earthwork and paving classification and the broader engineering license above it, and the choice decides what the company may bid. An awarding authority may not give a prime contract to a specialty contractor whose classification is less than a majority of the project. Nevada makes excavating a subclassification of its general engineering license and puts a monetary limit on the license, the largest contract its holder may take for one client on one site, set after weighing the applicant's finances, experience and character. Florida licenses underground utility work and does not license plain grading at all. Texas licenses none of it.

## A Fifth of the Work Is Government

Twenty-two percent of this trade's construction work is on government-owned projects, the highest share of any build and finish trade by a wide margin. Federal construction contracts above one hundred fifty thousand dollars require a performance bond and a payment bond before the award. Bonding is part of the credit here, not a detail: a surety underwrites the indemnitors and the [balance sheet](https://searchspheresource.com/glossary/balance-sheet), so new owners are new indemnitors, and a buyer who cannot be indemnified onto a comparable program loses the public [backlog](https://searchspheresource.com/glossary/backlog) on day one. Federal contracts also carry a [differing site conditions](https://searchspheresource.com/glossary/differing-site-conditions) clause, which pays for ground the borings did not show only when the crew gives written notice before disturbing it.

## What to Verify in Diligence

The equipment list is the balance sheet in this trade, and the damage history is the operating record. Both are documents somebody already has.

## Financeability Notes

This is an equipment deal and a lender will treat it as one. Capital expenditure runs about 3.5 percent of receipts, machinery rental 2.5 percent, and fuel and electricity 5.5 percent, all the highest of these trades. The agency may also require professional appraisals of the assets, which makes the [orderly liquidation value](https://searchspheresource.com/glossary/orderly-liquidation-appraisal) the floor the whole structure sits on. [Working capital](https://searchspheresource.com/glossary/working-capital) swings with the thirty percent of revenue that arrives as a subcontract from another contractor and is paid on that contractor's cycle. In Nevada the license's monetary limit is re-underwritten off the buyer's financials, so a thinner balance sheet can shrink the size of job the company may legally bid the week after closing.

## Terms in This Industry

- **Tolerance zone**: The corridor either side of a marked line where the rules change, measured from the line itself. Two things about this are commonly got wrong and both cost money. It is measured from the FACILITY and not from the paint. Florida defines it as twenty four inches from the outer edge of either side of the exterior surface of a marked underground facility. The tolerance on the marking itself is a separate twenty four inches, so merging them understates the corridor. And machines are not universally barred inside it. Florida requires increased caution and hand digging, pot holing, soft digging or vacuum methods to identify the facility, then says any use of mechanized equipment inside the zone must be supervised by the excavator. Virginia does bar it where the dig crosses the line, requiring the line be exposed to its extremities by hand and no mechanized equipment within two feet of them. A crew trained under one of those is not trained for the other, and the liability follows the business.
- **Trench competent person**: The named individual with authority to stop the work, not just to spot the hazard. The federal definition turns on authorization: this is somebody who can identify the hazard and take prompt corrective measures, which means stopping a crew that is already behind. A protective system is required for every employee in an excavation, except in stable rock or in a cut less than five feet deep where that person finds no indication of cave-in. Any trench four feet or deeper needs a ladder or ramp within twenty-five feet of lateral travel. A trench fatality is this trade's signature catastrophic event and it prices the experience modifier that decides the insurance.
- **Stormwater notice of intent**: The permit coverage a site needs before the first blade, held by the operator. One acre of land disturbance is the trigger, and work under an acre counts if it is part of a larger common plan that will disturb one. The operator named on the notice carries the enforcement exposure, which is why a change of ownership is a permit event on every open site at once and not a filing to do afterwards. Ask for the open notices by site and read whose name is on each, because the seller's entity may still be the named operator on a job the buyer is now running.
- **Clean fill determination**: Whether the soil leaving a site is a construction material or a regulated waste. Import and export of dirt is one of the largest single cost variances on a site job, and a characterization that comes back dirty turns free haul into tipping fees. Illinois puts the line in statute. Uncontaminated broken concrete without protruding bar, brick, rock and soil from construction or demolition are not waste if used as fill outside a setback zone, no higher than the ground beside it, and covered. Filling a quarry or mine with that debris from another site needs a permit, and the state's fill rules add an instrument check of every load and a three-year record of hauler, source site owner, origin, weight or volume and date. That record is the artifact to ask for.
- **Aggregate bond limit**: The two numbers a surety writes: the largest job, and the whole program at once. Federal construction contracts above one hundred fifty thousand dollars require both a performance bond and a payment bond before the award, and more than a fifth of this trade's construction work is on government projects. Bonding capacity is not a license that transfers. A surety underwrites the people who indemnify it and the balance sheet behind them, so new owners are new indemnitors and the program is rewritten around them. Ask for the single-job limit, the aggregate, and the surety's name before pricing the public backlog.
- **Fill receiving site**: Where excavated material may legally land, which is the receiver's status and not the mileage. No law measures the haul. What law reaches is where the material may land and who keeps the record, and it changes completely across a state line. New York bars two fill types from four named counties outright and lets one of them be reused only inside the county that generated it. The receiving project must hold a building permit or municipal authorization where one is required, the fill must be used within thirty days of arrival, and the receiver may not take payment for accepting it. Generator, processor and receiver must each keep quantities and analytical data for three years. Virginia exempts rocks, brick, block, dirt, broken concrete and road pavement as clean fill so long as no open dump, hazard or nuisance results, with no permit, no location rule and no record at all. So a route's disposal arrangement is a legal instrument in one state and a handshake in another, and only one of those survives a sale.
- **Potholing**: Uncovering a marked line by hand or vacuum before a machine goes near it. The tolerance zone is the corridor and this is what the corridor demands. Florida's act requires hand digging, potholing, soft digging or vacuum methods to identify the facility inside the zone, and then allows mechanized equipment there under the excavator's supervision, which is a supervision rule and not a ban. The zone's width is a state number. Florida sets twenty-four inches from each side of the marked facility and Ohio eighteen, while Washington names no tolerance zone at all and arrives in the same place through a locate-accuracy definition. For a buyer this is the line between a bid that pencils and one that does not, because exposure is slow crew-heavy work priced by the hole. A seller who has been running machines through the zone was winning on a cost basis you cannot lawfully reproduce. Ask how many holes per thousand feet the estimates carry, and whether the vacuum truck is owned.

## What It Costs to Replace the Owner

The multiples are quoted on SDE, which adds the owner's pay back into earnings, so they hold only if you do the owner's job. For this trade the replacement is usually the lead who runs the trade crews, paid a median of $79,920 a year nationally; at a 3x multiple that wage takes about $239,760 off what the business is worth to you.
