## The Master License Decides Deals

Most states require plumbing work to run under a master plumber of record, and the rules are often stricter than HVAC equivalents: experience thresholds, exams, and limits on how many companies one master can qualify. If you do not hold the license, the deal depends on the seller or a licensed employee staying in that role, and on state rules about transfers. A shop with a certified tester and a maintained device list has a route that renews itself; one without subcontracts the work and hands the customer relationship to whoever shows up. - **Drain and sewer share**: The portion of revenue from clearing, camera work, and line replacement, not fixtures. Drain work carries the highest margins in the trade and the least price sensitivity, because a backed-up line is an emergency and nobody shops it. It also needs equipment a buyer can count: jetters, cameras, and locators, each with a service life and a replacement cost. A shop weighted to new fixtures and remodels is a construction business with a plumbing license, priced and financed as one; a shop weighted to drains is a service business with recurring emergencies. - **Replacement clock**: How long the company may keep operating after the licensed qualifier walks out. It is short and it is automatic. California gives ninety days from the date of disassociation to replace the qualifier, and at the end of them the license is suspended or the classification removed without anybody deciding to do it. One extension exists, capped at a hundred and eighty days total, and only for a disputed date, a death, or the agency's own delay. Florida runs sixty days and is harsher in the meantime, since the business may not contract at all until a new qualifying agent is employed unless a temporary certificate issues to finish work already awarded. Neither state lets a license move with the business: California's is not transferable to any other person or entity under any circumstances, and Florida says its certificate is not transferable.
- **Permit history**: Florida bars penalizing an arms-length buyer over a prior owner's permit that was never closed. Florida legislated the split, and it is the opposite of what most buyers assume. An arms-length purchaser of a property for value may not be denied a permit, cited, fined or penalized solely because a permit a previous owner applied for was never closed. The agency keeps all its rights and remedies against the property owner and the contractor named on the permit. So an open permit follows the license and not the house. It is license exposure as well as rework, because proceeding on a job without the applicable permits and inspections is its own ground for discipline. And the legislature had to forbid agencies from denying a contractor a new permit merely because other permits in its name were still open, which tells you agencies were doing exactly that. Ask for the open list by permit number, by year, before pricing the license.
- **Lateral responsibility**: In Portland, the city maintains the sewer lateral only to the curb, and the owner covers the rest. The drain and sewer share is the revenue and this decides whether its biggest ticket exists at all. Lateral replacement is the largest job in that line, and who pays for it is set by a municipal ordinance the seller has never read to you. A privately built system is the owner's wherever it lies, including inside the public right of way, and work there needs a permit the city may simply refuse. Get the ticket mix split by jurisdiction and read the ordinance for the two or three cities that produce the big tickets.
- **Rough-in and trim draws**: The two billing stages of new-construction plumbing: pipe inside the walls, then fixtures at the end. New-construction work bills at rough-in and again at trim, and the gap between them runs months while the builder finishes everything else. That gap is working capital the buyer funds, and it does not show up in an income statement that already counts the job as profitable. Ask for receivable aging by builder and for the share of revenue sitting between the two draws at any one time.
